1. General provisions
These Terms of Service (the "Terms") constitute a public offer and govern the relationship between the owner of the NetRoom platform (the "Service", "NetRoom", the "Platform") and any natural or legal person using the Service (the "User", "you").
By using the NetRoom platform, you agree to these Terms. The platform provides access to generative AI networks on a post-paid or subscription basis.
By registering an account, authorising via third-party services (Telegram, Google, Yandex), or otherwise using the functionality of the Service (including sending a first request to a model, topping up your balance, or changing settings), the User confirms that:
- has read, understood and fully accepts these Terms, the Privacy Policy and the Refund Policy;
- has the legal capacity required to enter into these Terms under the law of their place of residence;
- has reached the age of 18, or is using the Service with the consent of a parent/legal guardian and only within the functionality that does not relate to 18+ models;
- is acting on their own behalf or, if registering on behalf of a legal entity, has all necessary authority.
If you do not agree with any provision of these Terms, stop using the Service; if you have already created an account, contact support to delete it.
2. Definitions
For the purposes of these Terms:
- Service / Platform / NetRoom — the software and hardware system available at
netroom.ai,/ru/, via a Telegram bot and associated interfaces, providing access to AI models of third-party providers. - User — a person registered with and/or actually using the Service.
- Account — the User's record in the Service containing their identifiers, balance, transaction history and settings.
- Model — a specific neural network or family of neural networks of leading global AI developers (OpenAI, Anthropic, Google, Mistral, Stability AI and others) made available through the Service interface.
- Model Provider — the company that develops the model and provides the Service with request and response delivery services.
- Prompt / Request — text, image, file, or other data sent by the User to a model to obtain a result.
- Generation / Result — text, image, video, audio, or any other artifact returned by a model in response to a prompt.
- Balance — the User's internal account denominated in the currency shown in the interface, from which the cost of generations is debited.
- Real top-ups — amounts the User has actually paid via the payment provider.
- Bonuses / Bonus credits — starter bonus, top-up bonuses, referral credits, promo codes and any other credits shown on the balance but not paid for by the User.
- Assistant — a pre-configured model setup with system prompt, generation parameters and use-case description created by the Service.
- Subscription — a tariff plan granting access to groups of models within fixed limits for the term stated in the plan.
3. Description of the Service
NetRoom provides the User with a single interface for working with various generative models. The functionality includes, in particular:
- access to text-generation models (including reasoning and web-search modes);
- generation of images from text and from reference images;
- video generation in text-to-video, image-to-video and video-to-video modes;
- work with audio and sound models;
- uploading user files (PDFs, documents) and searching within them using RAG (retrieval-augmented generation);
- working with preset assistants and saving custom prompt presets;
- shared access to chats and presets via share-tokens;
- referral programme, top-up bonuses, promotions and promo codes;
- pay-per-use billing and/or subscription tariffs.
The Service acts as an intermediary, routing the User's requests to Model Providers and returning the result. The Service does not develop the models themselves, does not control their training, and bears no responsibility for model behaviour not contrary to these Terms and applicable law.
The list of available models, their capabilities and prices may change without prior notice. The Service may temporarily or permanently discontinue access to specific models, in particular following the discontinuation of provider support.
4. Registration and account
Registration with the Service is possible in one of the following ways:
- Email and password — a valid email address and a password meeting the minimum strength requirements are required. The Service does not confirm the email address by default; the User is responsible for the correctness of the address and for third-party access to the mailbox provided.
- Telegram WebApp — sign-in with authenticity verification through Telegram HMAC signature. The Service receives the Telegram ID, username and interface language.
- Google OAuth — sign-in via a verified Google account; email with email_verified=true is used.
- Yandex OAuth — sign-in via a verified Yandex ID account.
The User undertakes to:
- provide accurate information and keep it up to date;
- not share their password or session tokens with third parties;
- not create multiple accounts in order to obtain additional bonuses, bypass limits or perform other unfair actions;
- immediately notify the Service via support of any compromise of credentials.
The Service may limit the number of concurrent active sessions, require re-authentication, temporarily block suspicious sessions and apply other technical safeguards.
5. Age limit
The Service is not intended for persons under the age of 18. Persons under 18 may use the Service only with the consent and under the supervision of a parent or legal guardian and only with respect to functionality not marked as 18+. Access to models and modes labelled 18+ is permitted exclusively to persons who have reached the age of 18; the User bears full responsibility for the accuracy of their stated age.
6. Payments and Subscriptions
All transactions are debited from the internal balance according to the price list of the selected generative model. Refunds are possible only in case of technical failures or other grounds set out in the Refund Policy.
- Top-ups are processed through certified payment providers (bank cards, Stripe, crypto and other methods) and Telegram Stars. Card details are not transferred to or stored by the Platform itself.
- The cost of each generation (input/output tokens, images, seconds of video) is fixed and shown in the interface before execution. Debit is performed automatically upon successful completion of the generation.
- The Platform may apply to a User individual pricing coefficients (discounts, markups) reflected in the interface.
- Under a subscription, access to the selected models or model groups is granted for the term and within the limits stated in the plan. A subscription may provide for a total request limit per period and/or a daily limit. Unused subscription quota does not roll over and is not subject to monetary compensation.
- By default settlements are made in the currency shown in the interface. Prices shown in other currencies are informational.
- The Platform may change the price list unilaterally. Changes do not have retroactive effect on already completed debits.
7. Bonuses, referral programme and promo codes
The Service may, at its sole discretion, credit bonus units to the User:
- Starter bonus — a one-off credit upon registration.
- First and recurring top-up bonuses — a percentage of the top-up amount that depends on the active programme.
- Referral programme — the User earns credits on top-ups made by people they invited (for example, at two levels of depth); the invited User may also receive a starter bonus.
- Promo codes and campaigns — one-off or time-limited credits granted via special codes or marketing campaigns.
- Compensation credits — credits granted in case of Service-side incidents.
Bonus credits appear on the balance as ordinary units and can be used to pay for generations, however:
- when charging, the Service spends bonus credits first and only then debits real top-ups;
- bonus credits are not refundable under any circumstances and may not be withdrawn to a bank card, phone account or any other payment instrument;
- the Service may void unused bonuses and reverse previously spent bonuses on detection of abuse (multi-accounting, fraud, chargeback, refund initiated in the payment system).
The referral programme must not be used in ways that distort its economic purpose (self-referrals, incentivised traffic aimed at cashing out bonuses, etc.). The Service may zero out referral earnings and suspend the corresponding accounts for such conduct.
8. Refunds
Only the unspent portion of real top-ups is refundable — bonus and referral credits are excluded. Every token, image or second of video actually produced by a model counts as a service that has been rendered and is not refundable.
Refund conditions, filing/review/execution time limits and bonus accounting rules are described in the standalone Refund Policy, which forms an integral part of these Terms.
9. Acceptable use and prohibited content
The User undertakes to use the Service in good faith, in accordance with applicable law, the laws of the User's place of residence, the policies of the Model Providers and the provisions of these Terms.
It is prohibited to generate, submit to a model, distribute or otherwise use, in particular, the following content:
- Sexual content involving minors (CSAM) — any generation, depiction or description of sexual acts involving persons under 18 or persons appearing to be such. These materials are expressly prohibited by law; the Service is required to report such requests to the competent authorities.
- NSFW / pornographic materials — generation of explicit sexual content outside of models that explicitly support an 18+ mode, or its distribution through public features of the Service.
- Content promoting violence — detailed scenes of cruelty, instructions on causing harm to people or animals, calls for terrorism, extremism, coup d'état, mass murder.
- Copyright and related-rights infringement — generation of copies of protected works, voice, likeness or style of living public figures without their consent; use of third-party photos, audio or video material without legal grounds.
- Hate speech and discrimination — materials degrading dignity on the grounds of race, nationality, language, origin, religion, gender, sexual orientation, disability, age or other protected characteristics.
- Disinformation and fakes — generation of forged documents, identity cards, banknotes, medical certificates, fake news about real people or organisations with intent to mislead.
- Dangerous instructions — instructions for creating weapons, explosives, poisons, illicit drugs, hacking information systems, security tools or financial services, and instructions aimed at harming people.
- Prohibited symbolism — materials containing symbols of organisations recognised as extremist or terrorist, Nazi symbols and other elements the circulation of which is prohibited by law.
- Spam, phishing and automated attacks — mass generation of content for mailing lists, phishing, rating manipulation; attempts to bypass billing, protection mechanisms and rate limits; scraping models through the Service in violation of provider terms.
- Third-party personal data — generation, aggregation, profiling or disclosure of information about specific natural persons without their consent (addresses, phone numbers, documents, medical and financial information).
- Impersonation and deepfakes — creation of deepfakes using images or voices of real people without their consent; impersonation of official accounts and officials.
- Interference with infrastructure — attempts at reverse engineering of the Service, bypassing authentication, privilege escalation, load testing without prior agreement.
How we respond to violations:
- We rely on the safety filters built into the AI models themselves. Where needed, we also review user complaints and third-party requests.
- For a first violation we usually limit ourselves to a warning and a temporary restriction on certain features (for example, 18+ models) — to give you the chance to put things right.
- For repeated or serious violations the account may be suspended; in that case the unspent balance is not refunded.
- In exceptional cases expressly required by law (for example, materials involving minors, incitement to terrorism, direct threats to individuals) we share the necessary information with the competent authorities.
- Responsibility for how you use the result outside the Service rests with you.
10. Rights in prompts and generated content
By submitting prompts, files, images and other materials to the Service, the User confirms that they hold all rights and consents necessary for such submission and grants the Service a non-exclusive, irrevocable, royalty-free licence to use the submitted materials solely to the extent necessary to:
- forward the materials to the corresponding Model Providers to obtain a result;
- store the materials within the retention periods set out in the Privacy Policy;
- ensure the security of the Service, investigate incidents and respond to complaints.
Rights in the results of generation (texts, images, video, audio) belong to the User to the extent permitted by the terms of the corresponding Model Providers and applicable law. The Service does not claim exclusive rights to the User's generated content; however, the User is aware that:
- in some jurisdictions, results created entirely by AI may not be protected by copyright;
- generated results may contain elements protected by third parties; the User independently verifies such results before any commercial use;
- the Service provides no legal guarantees of "cleanliness" of the results and does not compensate third-party claims arising from their use by the User.
11. Shared access and public features
The Service allows the User to make a chat, prompt preset or generated media accessible via a special link (share token). By creating such a link, the User independently makes the content publicly accessible and assumes all risks associated with its further distribution.
Generated images and videos as well as user media are stored in cloud storage accessible by direct link. The URL of such a resource is public: anyone with the link can access the content without authentication. The User undertakes not to upload materials whose publication via such a model could violate their rights or those of third parties.
The Service may, at its discretion, restrict or revoke any public link, particularly in cases of breach of these Terms.
12. Working with AI: what to keep in mind
Modern generative models are a powerful tool, but not a source of absolute truth. The Service is provided "as is", and we want you to be aware of the following:
- generated results may contain factual, grammatical or logical inaccuracies — please double-check anything important;
- the Service is not a substitute for legal, medical, financial or other professional advice — for decisions with significant consequences, consult a qualified professional;
- we strive to keep the Service stable, but cannot guarantee absolutely uninterrupted operation — uptime also depends on external model developers and infrastructure;
- we support modern browsers and devices, but cannot guarantee operation on outdated configurations.
Treat AI-generated results as drafts or suggestions, not as a definitive source.
13. Limitation of liability
To the maximum extent permitted by applicable law, the Service shall not be liable for:
- any lost profits, indirect, punitive or special damages of the User in connection with the use of, or inability to use, the Service;
- harm caused by acts of third parties (including Model Providers, payment providers, telecom operators);
- consequences of the use of generated results by the User outside the Service;
- failures caused by force majeure (including acts of authorities, outages of global services, cyber attacks).
In any event, the aggregate liability of the Service to the User for all obligations connected with the use of the Service shall not exceed the amount of real top-ups actually made by the User during the twelve months preceding the event giving rise to the liability.
The above limitation does not apply to liability that may not be limited under applicable law.
14. Availability and updates
The Service strives for 24/7 availability but does not guarantee uninterrupted operation. There may be:
- scheduled maintenance windows for updates and servicing;
- incidents at Model Providers, payment and infrastructure partners;
- outages caused by reasons beyond the Service's control (external network failures, acts of third parties).
The Service may at any time add, change or remove models, assistants, tariffs and other functionality, or discontinue the entire Service with prior notice to Users on the procedure for returning the unspent balance.
15. Force majeure
The parties are released from liability for non-performance caused by force majeure: natural disasters, military actions, acts of state authorities, epidemics, mass cyber attacks, disruptions of external services essential to the Service (messengers, payment systems, AI model developers, cloud infrastructure), and other circumstances beyond the parties' control.
16. Personal data
The composition, purposes and procedure for processing the User's personal data, and the User's rights as a data subject, are set out in the Privacy Policy. By registering with the Service, the User confirms consent to the processing of their personal data on the terms of that Policy.
17. Changes to the Terms
The Service may amend these Terms unilaterally. The current version is always published at /terms/ with the date of the latest update.
The Service notifies the User of material changes by one of the following means: a banner in the interface, a Telegram bot message, or an email sent to the address provided at registration. Continued use of the Service after publication of the changes constitutes the User's acceptance of the new version. If the User disagrees with the new version, the User may stop using the Service and request a refund under the Refund Policy.
18. Governing law and dispute resolution
These Terms are governed by the law of the country where the Service owner is registered. All disputes not resolved through negotiation and a mandatory pre-trial claim (with a 30-calendar-day response window) shall be resolved by the court at the location of the Service owner in accordance with the applicable rules of jurisdiction.
For consumer Users, the rights provided by applicable consumer-protection law remain unaffected.
19. Contact, support and operator details
Support on questions concerning the Service, bonuses, refunds and personal-data requests is available via Telegram chat: @netroom_ai. Support operates daily 09:00–23:00 (UTC+3); responses to complex enquiries are provided within a reasonable time not exceeding the periods set by applicable law and our other policies.
For matters requiring formal documentation (invoices, acts, billing details, claims), the User contacts support specifying the corresponding basis. The Service owner's legal details are provided upon request.
